Software License Agreement
The computer
program(s) ("Software") is licensed, not sold, to you by Electronic
Document Storage (“EDS”) for use only under the terms of this agreement, and
EDS reserves any rights not expressly granted to you. You own the media on
which the Software is recorded or fixed, but EDS retains ownership of the
Software itself.
1. General
You have
read and agree to be bound by the current “General Terms and Conditions” available
on our website at www.electrodoc.co.uk/terms/EDS/gentc.htm.
2. License.
This Agreement allows you to:
(a)
Use one copy of the Software on a single
computer at a time. To "use" the Software means that the Software
is either loaded in the temporary memory (i.e., RAM) of a computer or installed
on the permanent memory of a computer (i.e., hard disk, CD ROM, etc.). You
may install the Software on a common storage device that is accessible by
multiple computers, provided that if more computers have access to the common
storage device than the number of licensed copies of the Software, you must
have some software mechanism which locks-out any concurrent users in excess
of the number of licensed copies of the Software (an additional license is
not needed for the one copy of Software installed on the common storage device
accessed by multiple computers).
(b)
Make one copy of the Software in machine
readable form solely for backup purposes. Additionally, only so long as the
Software is installed only on the permanent memory of a single desktop computer
which is not accessible by multiple computers and that the single desktop
computer is used by one user for at least 80% of the time the computer is
in use, that user may also make a copy of the Software to use on a portable
computer which is primarily used by such user. As an express condition of
this Agreement, you must reproduce on each copy any copyright notice or other
proprietary notice that is on the original copy supplied by EDS.
(c)
The licensing agreement is for the
original purchaser and is non-transferable.
2. Restrictions.
The Software contains trade secrets in its human perceivable form and, to
protect them, you may not REVERSE ENGINEER, DECOMPILE, DISASSEMBLE, OR OTHERWISE
REDUCE THE SOFTWARE TO ANY HUMAN PERCEIVABLE FORM. YOU MAY NOT MODIFY, ADAPT,
TRANSLATE, RENT, LEASE, LOAN OR CREATE DERIVATIVE WORKS BASED UPON THE SOFTWARE
OR ANY PART THEREOF.
3. Termination.
This Agreement is effective until terminated. This Agreement will terminate
immediately without notice from EDS if you fail to comply with any provision
of this Agreement. Upon such termination you must destroy the Software, all
accompanying written materials and all copies thereof.
4. Entire
Agreement
This Agreement
and referenced documents represent the entire understanding between you and
EDS in relation to the subject matter and supersede all prior agreements,
understandings or arrangements made by either party, whether oral or written.
5. Modification
The Agreement
may only be modified if such modification is in writing and signed by you
and a duly authorised representative of EDS.
6. Waiver
Failure
or neglect by EDS to enforce at any time any of the provisions hereof shall
not be construed nor shall be deemed to be a waiver of EDS’s rights hereunder
nor in any way affect the validity of the whole or any part of the Agreement
nor prejudice EDS’s rights to take subsequent actions.
7. Headings
and Law
The headings
contained within the Agreement are inserted for convenience of reference only
and are not intended to be part of or to affect the meaning or interpretation
of the Agreement. The Agreement shall be governed by and construed and interpreted
in accordance with English law, and the parties hereby submit to the non-exclusive
jurisdiction of the English courts.
8. Severability
If any provision of the Agreement shall be found by any court to be invalid or unenforceable, the invalidity or unenforceability of such provision shall not affect any other provisions and all provisions not affected by such invalidity or unenforceability shall remain in full force and effect.
